Terms of Service

Parent Mindset ("the Service") is operated by Boost Innovation Inc. ("Boost Innovation," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Who can use Parent Mindset

You must be at least 18 years of age and legally capable of entering into a binding contract to create an account. Parent Mindset is designed for parents, guardians, and caregivers of youth athletes. Accounts are for individual, personal, non-commercial use. You represent and warrant that all information you provide is accurate and that you are not barred from using the Service under the laws of your jurisdiction.

2. Your account

  • You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
  • You may not share, sell, rent, lease, or transfer your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We may suspend or terminate accounts that violate these Terms.

3. Subscriptions, billing, and refunds

  • Free tier. The free tier is provided at no charge and includes the features listed on our pricing page.
  • Premium. Parent Mindset Premium is $4.99 USD per month, billed monthly through Stripe. Subscriptions auto-renew until cancelled.
  • Cancellation. You may cancel at any time from your Account page. Cancellations take effect at the end of the current billing period. You retain Premium access until then, after which your account reverts to the free tier.
  • Price changes. We may modify pricing with at least 30 days' notice to existing subscribers. Continuing your subscription after a price change constitutes acceptance.
  • Refunds. We do not issue refunds for partial billing periods. If you believe you were billed in error, contact hello@boostinnovation.ca.
  • Taxes. Listed prices may not include taxes applicable in your jurisdiction. Where required, Stripe Tax may add applicable taxes at checkout.

4. Acceptable use

You agree not to, and not to permit or assist any third party to:

  • Use the Service in violation of applicable law or these Terms;
  • Harass, threaten, discriminate against, or harm any person through the Service;
  • Attempt to gain unauthorized access to accounts, systems, or data;
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except as expressly permitted by law;
  • Scrape, crawl, harvest, aggregate, or systematically extract content, data, metadata, or user-generated material from the Service by any automated or manual means;
  • Use the Service or any Materials (as defined below) to train, fine-tune, benchmark, evaluate, or otherwise improve any machine learning model, large language model, or artificial intelligence system, without a separate written license from us;
  • Circumvent, disable, or interfere with security, authentication, rate-limiting, or tier-gating features (including free-tier usage caps);
  • Upload or transmit viruses, worms, malware, or any code of a malicious nature;
  • Use the Parent Guide AI feature to produce content that is defamatory, harassing, illegal, infringing, sexual, violent, or otherwise inconsistent with these Terms;
  • Resell, redistribute, sublicense, or commercially exploit the Service or any portion of it;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We may suspend, limit, or terminate access for any violation of this section, at our sole discretion and without notice.

5. Intellectual property and Materials

The Service and all materials it comprises (including but not limited to source code, object code, software, documentation, user-interface designs, visual designs, logos, trademarks, articles, situational guides, pathways, guided journeys, tools, worksheets, scripts, rituals, assessments, assessment questions, daily insights, knowledge cards, conversation cards, prompt designs, content taxonomies, evaluation rubrics, brand elements, and any modifications or derivative works thereof, collectively the "Materials") are the exclusive property of Boost Innovation Inc. or its licensors, and are protected by Canadian, United States, and international copyright, trademark, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and any applicable subscription, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Materials solely for your personal, non-commercial sport-parenting purposes. This license is revocable at any time for any reason. All rights not expressly granted are reserved.

You may not reproduce, republish, repost, redistribute, perform publicly, display publicly, broadcast, transmit, modify, create derivative works of, sell, or otherwise exploit the Materials, in whole or in part, without our prior written consent.

6. User content and license grant

"User Content" means any content you submit to the Service, including reflections, Parent Guide messages, season-plan entries, profile information, bookmarks, and any feedback you provide.

As between you and us, you retain ownership of your User Content. You grant Boost Innovation Inc. a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, reproduce, modify (for formatting purposes), display, and otherwise use your User Content solely (a) to operate, provide, maintain, and improve the Service for you; and (b) as otherwise permitted under our Privacy Policy.

This license ends when you delete your User Content or close your account, except that we may retain anonymized, aggregated usage data and may retain backups for a reasonable period.

You represent and warrant that your User Content does not violate any third-party rights (including copyright, privacy, and publicity rights) and does not violate these Terms.

7. Parent Guide AI

The Parent Guide feature is powered by large language models operated by third-party providers (currently Anthropic). Parent Guide outputs are generated content, not professional, medical, psychological, legal, or clinical advice. Outputs may contain inaccuracies, omissions, or errors.

You may not use the Parent Guide to produce content that violates applicable law, infringes third-party rights, harasses any individual, or violates our Acceptable Use Policy.

As between you and us, you may use outputs generated by Parent Guide for your personal, non-commercial use, subject to these Terms and the terms of the underlying AI provider.

8. Health, medical, and mental health disclaimer

Parent Mindset is not a medical, psychological, therapeutic, or mental health service. Nothing in the Service constitutes medical, psychological, psychiatric, legal, or financial advice. Parent Mindset does not diagnose, treat, cure, or prevent any condition. Content is educational and informational only.

Always seek the advice of a qualified licensed health professional with any questions you or your child may have regarding a medical or mental health condition. Do not disregard professional advice or delay seeking it because of something you read in the Service.

If you or your child is experiencing a mental health crisis, call local emergency services or the 988 Suicide & Crisis Lifeline (United States and Canada).

9. DMCA and copyright complaints

Boost Innovation Inc. respects the intellectual property of others. If you believe content on the Service infringes your copyright, please follow the process outlined in our Copyright and DMCA Policy. Repeat infringers will have their accounts terminated.

10. Third-party services and links

The Service integrates with or references third-party services (including Supabase, Anthropic, Stripe, Resend, Railway, and Vercel), and may include links to third-party websites. We are not responsible for the availability, accuracy, content, or practices of third-party services. Your use of third-party services is governed by their own terms.

11. Feedback

If you submit feedback, suggestions, or ideas about the Service ("Feedback"), you grant Boost Innovation Inc. a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use and exploit the Feedback for any purpose, without compensation or attribution.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOST INNOVATION INC. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free; that content will be accurate or reliable; or that defects will be corrected.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOST INNOVATION INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) CAD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Boost Innovation Inc. and its directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any right of any third party.

15. Termination

You may close your account any time from the Account page or by emailing us. We may suspend, limit, or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination: (a) your right to use the Service ends immediately; (b) active subscriptions will end at the conclusion of the current paid period (unless we terminate for cause); (c) your User Content will be handled in accordance with our Privacy Policy; and (d) provisions that by their nature should survive (including Sections 5, 6, 9–17) will survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict-of-laws principles. Subject to Section 17, the courts of Alberta shall have exclusive jurisdiction over any disputes arising from or related to these Terms.

If you are a resident of a jurisdiction that provides mandatory statutory rights to consumers (including but not limited to the European Economic Area, the United Kingdom, and certain U.S. states), nothing in these Terms is intended to limit those rights.

17. Informal resolution

Before filing any claim, you agree to attempt informal resolution by contacting us at hello@boostinnovation.ca and allowing us 60 days to address the issue. If we cannot resolve the dispute informally, either party may proceed to formal proceedings in accordance with Section 16.

18. Changes to these Terms

We may update these Terms from time to time. We will announce material changes via email and by posting a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance.

19. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, Copyright Policy, and any other policies referenced here, constitute the entire agreement between you and Boost Innovation Inc.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force.

Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

Assignment. You may not assign your rights under these Terms. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.

No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.

Force majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
